Refers to GNB Habitat and all its affiliates, officers, directors, agents, and employees.

User

Refers to any individual or entity that accesses or uses any product or service being offered by GNB Habitat; including any representatives, employees, or agents authorised to access or use the service on behalf of the individual or entity.

Registered User

Refers to an individual or entity that has created a free account or registered to use GNB Habitat as a member of the public; including any representatives, employees, or agents authorised to access or use the service on behalf of the individual or entity.

Subscriber

Refers to an individual or entity that has created a paid-for account or registers to use GNB Habitat as a real estate agent or agency; including any representatives, employees, or agents authorised to access or use the service on behalf of the individual or entity.

Subscription

Refers to the agreement between the subscriber and GNB Habitat in which the subscriber agrees to pay for GNB Habitats' services.

Account

Refers to a personalised and secure profile that is created by or for the user. An account allows the user to access and utilise features or content that is specific to their account.

Agreement

Refers to this legally binding document that outlines the terms and conditions governing the use of the services provided by a company. The Agreement is the mutual understanding between the User and GNB Habitat that establishes the rights and obligations of both parties. This includes provisions and related documents referenced in the document; including, but not limited to, GNB Habitat’s privacy policy and data protection.

1. Use of GNB Habitat

Section A

• GNB Habitat is intended for use by individuals or entities seeking to buy, sell, or rent real estate properties. You may use GNB Habitat solely for this purpose and for no other purpose. You agree to use GNB Habitat in accordance with these Terms and all applicable laws and regulations.
• We reserve the right to modify or discontinue any aspect of GNB Habitat, including the availability of any features or functionality, at any time without prior notice.

2. User Accounts and Conduct

Section A - Subscriber Accounts

• Subscribers may create one user account per subscription for use on GNB Habitat.
• Subscribers' accounts are non-transferable and may only be used by the subscriber to who they are registered.
• Subscribers must provide accurate and up-to-date information when creating a user account, including their name, email address, and contact information.
• Subscribers are solely responsible for maintaining the confidentiality of their login credentials, and must not share their account information with anyone else.
• Subscribers must notify GNB Habitat immediately if they suspect their account has been compromised or accessed without authorization.
• Subscribers agree not to use GNB Habitat or its services to interfere with or disrupt the operation of GNB Habitat, or the servers or networks used to make GNB Habitat or its services available.
• Subscribers agree not to engage in any activity that interferes with or diminishes the quality or functionality of GNB Habitat or its services.
• GNB Habitat reserves the right to review and remove any content that violates our terms and conditions, or that we deem inappropriate or fraudulent.
• GNB Habitat may suspend or terminate any user account that violates our terms and conditions or that we deem inappropriate or fraudulent.
• Subscribers may delete their account at any time by contacting GNB Habitat customer support.
• GNB Habitat may collect and use user data in accordance with our privacy policy.

Section B - Registered User Account

• To register with GNB Habitat, registered users must be at least 18 years old and have the legal capacity to enter into a contract. By registering with GNB Habitat, registered users represent and warrant that they meet these eligibility requirements.
• Registered users are solely responsible for maintaining the confidentiality and security of their Account and password.
• Registered users agree to notify us immediately of any unauthorised use of their account, password or any other breach of security.
• Registered users are responsible for all activities that occur under their account(s).
• Registered users may use GNB Habitat and its services only for lawful purposes and in accordance with this agreement.
• Registered users agree not to use GNB Habitat or its services to interfere with or disrupt the operation of GNB Habitat, or the servers or networks used to make GNB Habitat or its services available.
• Registered users agree not to engage in any activity that interferes with or diminishes the quality or functionality of GNB Habitat or its services.
• In no event will GNB Habitat be liable to any registered user, or third party, for any damages arising out of or related to their use of GNB Habitat or its services, including but not limited to; direct, indirect, incidental, special, punitive, or consequential damages. Even if we have been advised of the possibility of such damages.
• GNB Habitat reserves the right to review and remove any content that violates our terms and conditions, or that we deem inappropriate or fraudulent.
• GNB Habitat may suspend or terminate any user account that violates our terms and conditions or that we deem inappropriate or fraudulent.
• GNB Habitat may collect and use user data in accordance with our privacy policy.

Section C - User Conduct

• Users of GNB Habitat must comply with all applicable laws and regulations.
• Users must not engage in any activity that is illegal, fraudulent, or harmful to others.
• Users agree to use GNB Habitat only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use and enjoyment of GNB Habitat by any third party.
• Users agree not to use GNB Habitat to engage in any conduct that is harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, or offensive.
• Users must not use GNB Habitat to engage in any form of harassment, bullying, or discrimination based on race, ethnicity, gender, sexual orientation, religion, or any other characteristic.
• Users must not post any content that is offensive, defamatory, or obscene.
• Users must not use GNB Habitat to transmit any malware, viruses, or other harmful software.
• Users must not use GNB Habitat to engage in any form of spamming, phishing, or other fraudulent activity.
• All content and materials on our Site, including without limitation, text, graphics, logos, icons, images, audio clips, video clips, software and other content ("Site Content"), are the property of the property portal or its licensors and are protected by copyright, trademark and other intellectual property laws.
• Users must not use GNB Habitat to infringe on the intellectual property rights of others.
• Users must not use GNB Habitat to solicit or collect personal information from other users.
• Users are solely responsible for their use of GNB Habitat and any consequences that may result from such use.

3. Subscription, Fees and Payment

Section A - Subscriptions

• A subscription to GNB Habitat allows one office / branch of an estate agency to list on the property portal. Multiple branch organisations will need to purchase separate subscriptions.
• By subscribing to GNB Habitat, users agree to pay the monthly subscription fee indicated at the time of purchase. This fee is subject to change with prior notice from GNB Habitat.
• GNB Habitat accepts various forms of payment, including credit and debit cards. By providing payment information, users authorise GNB Habitat to charge their selected payment method for the subscription fee each month, until they cancel their subscription.
• If we are unable to charge a user's selected payment method for any reason, we may suspend or cancel their subscription until we receive a valid payment method.
• The user's subscription will begin on the date that they sign up for the subscription.
• The user’s subscription will automatically renew on a monthly basis unless they cancel their subscription before the next billing cycle.
• GNB Habitat may terminate the subscription of any user who violates our terms and conditions or who engages in fraudulent or unlawful activity related to their use of the property portal.

Section B - The ‘Coffee Cup Guarantee’

• The "Coffee Cup Guarantee" promises that the user's subscription price will not be increased by more than the annual increase in the price of a large, to-go latte from Costa Coffee, located at 1 Heygate Avenue, Southend-on-Sea SS1 1DQ, United Kingdom.
• The guarantee applies only to the price of the subscription itself and does not cover any additional fees or charges that may be added to the subscription.
• The guarantee will remain in effect for as long as the user maintains an active subscription to our service.
• By opting into the "Coffee Cup Guarantee," users acknowledge that they have read and agree to these terms and conditions.

Section C - Notification of Price Changes

• GNB Habitat will notify all users of any changes to the subscription price at least 30 days in advance of the change taking effect.
• Notification of any changes to the subscription price will be sent to the email address assigned to the user's account.
• If a user does not agree to the new subscription price, they may cancel their subscription before the new price takes effect.

Section D - Modification and Termination

• GNB Habitat reserves the right to modify or discontinue the "Coffee Cup Guarantee" at any time, with or without notice.
• Any modifications or terminations of the ‘Coffee Cup Guarantee’ terms and conditions will not affect subscriptions made prior to the modification or termination.

Section E - Free Trials

• GNB Habitat reserves the right to determine eligibility for any free trial and to limit or revoke any user's free trial at any time.
• A user's free trial will begin on the date that they subscribe to, and create an account on, GNB Habitat.
• The trial period will last for the duration indicated at the time of sign-up.
• Users may cancel their trial at any time before the trial period ends, and they will not be charged.
• At the end of the trial period, the user subscription will automatically renew at the monthly subscription rate unless they cancel before the end of the trial period.

4. Property Information

Section A - Property Listings

• Users may post an unlimited amount of property listings to GNB Habtat for the duration of their subscription.
• Users are solely responsible for the content of their property listings and any consequences that may result from their publication. GNB Habitat does not guarantee the accuracy, completeness, or timeliness of any such information.
• GNB Habitat is not responsible for any errors or omissions in such information or for any loss or damage arising from your reliance on such information.
• By listing a property, users represent and warrant that they have the legal right to do so and that the information they provide is accurate and complete.
• GNB Habitat reserves the right to review and remove any property listings that violate our terms and conditions, or that we deem inappropriate or fraudulent.
• Users agree to indemnify and hold harmless GNB Habitat and its affiliates, officers, directors, agents, and employees from any and all claims, damages, or liabilities arising out of or in connection with your listing.

Section B - Third-Party Software and Connection Liability

• In the event that third-party software or service utilised by users to access, manage, or submit property listings to GNB Habitat becomes unavailable, dysfunctional, or otherwise causes interruptions in service, GNB Habitat shall not be liable for any damages, costs, or losses incurred by users as a result of such issues.
• Users acknowledge and agree that GNB Habitat has no control over the performance or availability of third-party software or services and is not responsible for any disruptions or inconveniences caused by their use.
• By using GNB Habitat's platform in conjunction with third-party software or services, users assume full responsibility for any risks or consequences that may arise from their use and agree to indemnify and hold harmless GNB Habitat and its affiliates, officers, directors, agents, and employees from any and all claims, damages, or liabilities arising out of or in connection with such third-party software or services.

Section C - Intellectual Property

• By uploading any pictures or text to GNB Habitat, users grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with the operation of our website and our business, including without limitation for promoting and redistributing part or all of the website (and derivative works thereof) in any media formats and through any media channels.
• Users represent and warrant that they have all the rights necessary to grant the licence above, and that the use of the content by us and our users, partners, and licensees will not infringe any intellectual property rights or other rights of any third party.
• Users agree to indemnify, defend, and hold us harmless from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your breach of the above representation and warranty.
• We reserve the right to remove any content that violates these terms and conditions, or that we deem inappropriate for any reason, without prior notice to the user who uploaded the content.

5. Termination

Section A

• GNB Habitat reserves the right to terminate your user account/subscription to GNB Habitat at any time, with or without cause, without prior notice or liability.
• Upon termination of a user's account/subscription, the user's access to the GNB Habitat will be immediately revoked.
• Termination of the user's account/subscription does not nullify any outstanding or unpaid fees, including subscription fees and any other additional costs incurred during the user's subscription period.
• The user is responsible for exporting any data or information they wish to retain prior to the termination of their account/subscription.
• Termination of the user's account/subscription shall not relieve either party of any obligations or liabilities that have accrued prior to termination.
• Any provisions of this agreement that, by their nature, should survive termination (such as indemnification or limitation of liability) shall remain in full force and effect.

6. Privacy Policy

Section A - Information We Collect

• Users are required to provide their business name, location, logo, contact/employee names and contact email address upon opening a GNB Habitat user account.
• GNB Habitat may collect additional information from users when they use our website, including (but not limited to) name, email address, phone number, property search preferences, IP address and browser type.

Section B - How We Use Your Information

• Information provided upon sign-up is used to create the user's account and subsequent microsite and listings.
• We may use users' personal information to provide and improve our services. This may include (but is not limited to) sending users relevant updates, providing customer support, and analysing website usage to improve our services.
• We may also use users’ personal information for marketing purposes, including (but not limited to) sending them newsletters or promotional materials.
• Users can opt out of receiving marketing communications from us at any time.

Section C - How We Share Your Information

• We may share users' personal information with third-party service providers who assist us in providing our services to them, such as email marketing platforms or data analytics companies.
• We require these service providers to only use users' personal information for the purposes for which we provide it to them.
• We may share your personal information if required by law or to protect our legal rights.

Section D - Right to Erasure

• Users have the right to access and correct their personal information held at any time.
• User has the right to request the erasure of their personal information GNB Habitat.
• Users may be denied their request in the following circumstances:
  1. I. If we are required to retain the user's personal data in order to comply with a legal obligation, such as for tax purposes or in response to a lawful request by a government or law enforcement agency.
  2. II. If the information is necessary to exercise the right of freedom of expression and information;
  3. III. If the information is necessary for the performance of a task carried out in the public interest or in the exercise of official authority;
  4. IV. If the user has an outstanding balance or unresolved issue with GNB Habitat, we may retain their personal data until the matter is resolved.
  5. V. If the user's personal data is necessary for the establishment, exercise, or defence of legal claims.
  6. VI. If the user's personal data is necessary for the purposes of public interest, scientific or historical research, or statistical purposes. In this case, the user's right to erasure may be restricted to an extent necessary for research or statistical purposes.
• If a user's request for erasure is denied, GNB Habitat will provide the user with an explanation of the reasons for the decision and inform them of their right to lodge a complaint with the relevant supervisory authority.

7. Disclaimers

• GNB Habitat is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GNB Habitat does not warrant that GNB Habitat will be uninterrupted, error-free, or free of viruses or other harmful components.
• Failure of GNB Habitat to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provisions.
• Should any part of this agreement be held unenforceable or invalid, that portion shall be construed consistent with applicable law and the remaining portions will remain in full force and effect.

8. Limitation of Liability

Section A

• In no event shall GNB Habitat or its affiliates, officers, directors, agents, or employees be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of GNB Habitat, even if GNB Habitat has been advised of the possibility of such damages.

9. Governing Law

Section A

• These Terms shall be governed by and construed in accordance with the laws of The United Kingdom without giving effect to any principles of conflicts of law.

10. Changes to the Terms and Conditions

• GNB Habitat reserves the right to modify or amend these Terms and Conditions at any time, without prior notice.
